The parties irrevocably submit to the exclusive personal jurisdiction of such courts and waive any objection as to inconvenient forum.
2. Scope of Service & CA / Professional Disclaimer
Arthixora Business Operating System is a technology platform designed to streamline business accounting, double-entry bookkeeping, multi-tenant enterprise resource planning (ERP), GST calculation, inventory tracking, production scheduling, and voice customer management for Micro, Small, and Medium Enterprises (MSMEs).
Statutory Accounting & Tax Advisory Disclaimer
Arthixora is an algorithmic software tool and does not provide certified Chartered Accountancy (CA), legal advisory, certified auditing, or statutory tax filing representation. While Arthixora calculates Goods and Services Tax (GST), TDS, and ledger balances in compliance with standard Indian tax guidelines, the final review, verification, authorization, and formal submission of statutory tax returns (including but not limited to GSTR-1, GSTR-3B, GSTR-9, and Income Tax returns) remains the sole professional responsibility of the subscriber and their authorized Chartered Accountants or Tax Practitioners.
3. Double-Entry Ledger Mathematical Finality & Audit Trails
To guarantee statutory accounting integrity and compliance with Indian accounting standards (AS) and Ind AS:
- Arthixora enforces strict double-entry bookkeeping rules: every debit entry must strictly match a corresponding credit entry.
- Once financial vouchers are finalized or accounting periods are closed, vouchers cannot be destructively altered or erased. Any corrections must be executed through standard accounting reversal entries, credit notes, or debit notes to maintain an immutable, tamper-proof audit trail.
- Each tenant workspace operates in strict cryptographic isolation in our PostgreSQL database layer.
4. 100% Data Preservation Guarantee & Trial Expiration Policy
Arthixora holds an absolute Zero Data Loss Commitment to Indian businesses:
- Trial Expiration: When a 15-day free trial or promotional subscription period concludes without an active paid renewal, the account transitions to a restricted state.
- Guaranteed Data Retention: All previously created vouchers, general ledgers, customer profiles, inventory master records, bills of materials (BOMs), and historical invoices remain 100% preserved in perpetuity. Arthixora does not delete or truncate historical business data upon subscription lapse.
- Data Portability: Even while in an expired or locked state, subscribers retain the right and programmatic capability to export their full statutory accounting books, customer records, and day-book ledgers in standard formats (CSV/Excel/JSON).
5. Intellectual Property Rights & Anti-Infringement
All right, title, and interest in and to the Arthixora platform—including but not limited to the source code, object code, system architecture, proprietary AI models and prompt packs, double-entry mathematical algorithms, UI/UX designs, desktop shells, trademarks, logos, and documentation—are and shall remain the exclusive intellectual property of Arthixora.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for internal business operations in accordance with these Terms. No right is granted to copy, modify, distribute, license, reverse-engineer, or create derivative works.
6. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- In no event shall Arthixora, its directors, employees, or partners be liable for any indirect, incidental, punitive, consequential, or special damages, including loss of profits, business interruption, or tax penalties resulting from erroneous data entry by the user.
- Arthixora's aggregate cumulative liability under or relating to these Terms or the software shall in no event exceed the total amount actually paid by the subscriber to Arthixora in the three (3) calendar months immediately preceding the event giving rise to liability.
